1 Operator and scope
These Terms and Conditions apply to www.cleverdist.com and Cleverdist website pages that expressly refer to them (the Website). The Website is operated by Cleverdist SA, Route de la Galaise 34, 1228 Plan-les-Ouates, Geneva, Switzerland (Cleverdist, we, us or our). Our contact email is info@cleverdist.com.
The Website provides information about Cleverdist, IO Industrial Intelligence and related offerings, and enables visitors to contact us, submit an operational challenge or request discussion of a pilot. Our commercial offerings are directed to organisations and professional users. Mandatory rights that apply to a visitor remain unaffected.
Where we intend a particular Website feature or submission to create contractual obligations under these Terms, we make the Terms available before the relevant action and request an affirmative acceptance where required. Browsing or acceptance of these Terms does not constitute consent to optional tracking, unrelated promotion or unrestricted use of personal data.
2 Separate product and customer agreements
These Terms govern the Website and initial enquiries. They do not themselves create a product subscription, paid pilot, professional services engagement, software licence or service level commitment. They do not authorise access to a customer’s operational systems or execution of an industrial action.
A customer engagement requires a separate agreement defining the scope, commercial terms, deployment, authorised users, responsibilities, security and other relevant commitments. The applicable signed agreement, order form and data processing agreement govern their respective subject matter and prevail over these Website Terms in the event of a conflict.
Product documentation and deployment-specific requirements may impose additional conditions on operational use. A Website demonstration or marketing description does not amend a customer contract.
3 Access and permitted use
You may use the Website lawfully to learn about Cleverdist, evaluate our offerings and communicate with us. You may view material and use expressly downloadable resources for your internal business evaluation, subject to any stated licence. Preserve ownership notices and attribution and do not misrepresent content or imply an endorsement that has not been given.
You must not use the Website to introduce malicious code, bypass access restrictions, impersonate another person, submit unlawful material, interfere materially with availability or infringe another person’s rights. You must not attempt unauthorised access to systems or data, or use automated extraction in a manner prohibited by applicable law or that materially disrupts the Website.
Except where an express licence or mandatory law permits it, you may not commercially exploit protected Website material, remove proprietary notices or reproduce protected content for redistribution. Nothing in these Terms removes statutory exceptions or rights that cannot lawfully be restricted.
4 Intellectual property and third party references
Cleverdist and its licensors retain intellectual property rights in Website content, software, documentation, designs and trademarks to the extent protected by law. No ownership transfers to you under these Terms. Third-party and open-licensed material remains subject to the applicable rights and licence conditions.
Customer names, third-party trademarks, logos and technology references belong to their respective owners. A reference does not by itself establish a partnership, certification, endorsement, agency relationship or permission to reuse a name or logo. Statements about a customer, integration or technology must be read in their stated context.
5 Information demonstrations and operational use
Website descriptions, examples, demonstrations, illustrations and indicative pricing are general information. They are not binding offers, engineering instructions, certifications of fitness or guarantees of operational or commercial outcomes. Binding specifications, prices and commitments must be recorded in the applicable customer agreement.
Available functions may depend on the product version, deployment, integrations, data availability and agreed configuration. We may correct or update Website information. A general description does not promise that every function is included in every engagement.
Do not rely on Website content or an illustrative demonstration as the sole basis for a safety-critical action, a change to industrial equipment or a decision requiring qualified professional assessment. Any permitted operational use must follow the relevant customer agreement, deployment documentation, safety requirements and authorised action boundaries.
6 Enquiries and operational challenge submissions
Provide accurate information and only material that you are entitled to disclose. If you communicate for an organisation, you must have appropriate authority for the action you take. Do not submit credentials, security keys, unnecessary personal information or sensitive operational records through a general contact form.
Submitting a request enables us to acknowledge it, ask relevant questions, arrange discussions, assess the stated need and prepare a proposal where appropriate. It does not require either party to buy or supply a product. An acknowledgement confirms receipt only. A response or delivery deadline is binding only where expressly agreed.
Before sharing confidential plant records, detailed technical information or third-party personal data for an assessment, establish an appropriate channel and any necessary confidentiality, data processing and assessment arrangements with us. A general enquiry does not authorise us to connect to a system or execute a mission.
You retain your rights in submitted material. You grant us only the permission necessary to receive, review and respond to your request and carry out an assessment expressly agreed with you. A submission does not grant a general right to publish the material, use it in marketing, disclose it to other customers or train an AI model on it. Additional uses require an appropriate agreement or lawful basis, as applicable.
7 AI-assisted processing and content
Cleverdist uses company-managed ChatGPT Business and Codex, including a HubSpot connection, and Jev by TypeSafe and Treg within Codex, to support professional research, contact enrichment, analysis, stakeholder mapping and internal preparation. Treg routes authorised requests to selected upstream APIs; those providers supply the relevant research or enrichment results. Access through Codex does not mean data stays on a local device or in Switzerland or the EEA.
Our staff review the resulting lead files and assessments before action or outreach and can correct or reject them. Professional fit scores and stakeholder inferences can be inaccurate. They do not establish consent to contact, purchasing intent or a person’s authority. These workflows do not make solely automated decisions with legal or similarly significant effects about individuals.
We do not use personal data in these internal business workflows to train or fine-tune AI models. Provider training, retention and international-processing arrangements are separate matters described in the Privacy Policy. A no-training commitment is not a promise that no data is stored. The Privacy Policy also explains sources, recipient roles, individual notices, objections and retention.
We use AI to assist with business content. Appropriate staff review and any legally required AI-content disclosures remain applicable. Content is subject to the limitations and rights provisions in these Terms. These website Terms do not replace a product agreement, data processing agreement or the Privacy Policy.
8 Privacy cookies and communications
Our Privacy Policy, available on the Website, describes how we process personal data in connection with the Website, enquiries and business activities. We use cookies and similar technologies for technical functions, analytics and advertising as explained there and in any additional information presented on the Website.
Acceptance of these Terms is separate from any required consent to optional tracking or promotional communications. Where consent is required, neither an enquiry nor continued browsing replaces it. You may exercise privacy and marketing rights through the mechanisms described in our Privacy Policy or by contacting info@cleverdist.com.
A request for information or a pilot enables relevant follow-up about that request. It does not automatically subscribe you to unrelated promotion. The applicable communication rules depend on the purpose, recipient and channel, regardless of whether a message is described as sales or marketing.
9 External providers and links
The Website may contain links to external sites or features operated by other providers. Their own terms and privacy information may apply to their services. An external link does not imply endorsement of all content on the linked site.
We do not control every external service, its content or availability. This does not exclude our own duties in selecting, configuring or using a provider, or any responsibility that cannot lawfully be excluded. Linking to a provider’s policy does not transfer all responsibility for Cleverdist’s processing to that provider.
10 Availability and protective measures
We may update, maintain, modify or temporarily restrict the Website. We do not promise uninterrupted access or that free Website information will always be complete or current. Paid product service levels and support commitments are governed by separate agreements.
We may take proportionate measures to restrict misuse, remove unlawful submissions, respond to security threats or comply with a legal requirement. Such measures do not override an existing customer agreement or mandatory rights. Where applicable law requires a reason, notice or review mechanism, those requirements continue to apply.
11 Liability and mandatory rights
Nothing in these Terms excludes or limits liability where that is prohibited by applicable law. This includes liability for intentional misconduct, fraud, gross negligence and death or personal injury to the extent it cannot lawfully be limited. Mandatory data protection rights, statutory remedies and competent authorities’ powers remain unaffected.
Subject to those protections and any mandatory duties, free Website information is provided without a contractual warranty that it will be error-free, continuously available or suitable for a particular operational purpose. The legal consequences of an error or interruption depend on applicable law and the agreed purpose of the relevant feature.
Liability for a paid pilot, IO deployment or other customer engagement is governed by its separate agreement, subject to mandatory law. These Website Terms do not impose a liability cap on such engagements or transfer all operational risk to a customer. Each party remains responsible for conduct for which it is legally accountable.
12 Changes to these Terms
We may revise these Terms for future Website use to reflect changes in the Website, our activities or applicable requirements. The current version and updated date are published on the Website. Where a revision affects an existing contractual feature, we provide notice and obtain any agreement required by law.
A revision does not retrospectively amend a customer agreement, expand rights over previously submitted confidential information or create consent to a new personal data purpose. Separate contractual and legal requirements govern those matters.
13 Governing law and jurisdiction
These Terms are governed by Swiss substantive law, subject to mandatory rules that apply irrespective of the choice of law. A consumer retains any protection that cannot be removed under applicable conflict-of-law rules.
For disputes under these Terms with a business user who validly agrees to this jurisdiction provision, the competent courts in the Canton of Geneva, Switzerland, have exclusive jurisdiction, subject to mandatory jurisdiction rules. Where exclusive jurisdiction cannot lawfully be agreed, the applicable statutory rules determine jurisdiction.
Nothing prevents a person from contacting a competent regulator, exercising statutory rights or seeking relief before a court with mandatory jurisdiction. A separate customer agreement may contain its own dispute resolution provisions.
14 Remaining provisions and contact
If a provision is invalid or unenforceable, the remaining provisions continue to apply to the extent permitted by law. Applicable law governs any resulting gap; an invalid provision is not automatically replaced by the broadest restriction favourable to Cleverdist.
For questions concerning the Website or these Terms, contact info@cleverdist.com or write to Cleverdist SA, Route de la Galaise 34, 1228 Plan-les-Ouates, Geneva, Switzerland.
